1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Growmax LLC ("Company," "we," "us," or "our"), a Wyoming limited liability company with its principal place of business at 30 North Gould Street, Sheridan, WY 82801.

By accessing or using ReplyDesk ("Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Service Description

ReplyDesk is a third-party software platform that enables users to manage multiple WhatsApp accounts through a unified team inbox. Our Service facilitates connection to WhatsApp via the WhatsApp Web protocol and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or WhatsApp LLC.

4. User Obligations

You agree to:

• Use the Service only for lawful purposes and in compliance with all applicable laws
• Maintain the confidentiality of your account credentials
• Not use the Service for spam, bulk messaging, or unsolicited communications
• Not violate WhatsApp's Terms of Service, Community Guidelines, or anti-spam policies
• Not use the Service to harass, abuse, or harm others
• Not attempt to reverse engineer, decompile, or interfere with the Service
• Provide accurate and complete registration information

5. Account & Billing

Trial Period: New accounts receive a 30-day free trial of our Growth plan features. After the trial period, accounts revert to our free tier unless upgraded.

Subscriptions: Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein.

Message Content: We do not read, analyze, or monetize your message content. Messages are stored solely to provide the Service and are encrypted in transit.

8. Indemnification

You agree to indemnify, defend, and hold harmless Growmax LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including WhatsApp's Terms of Service
• Any content you transmit through the Service

9. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

• Violation of these Terms
• Request or demand from Meta Platforms, Inc. or WhatsApp LLC
• Suspected fraudulent, abusive, or illegal activity
• Non-payment of applicable fees

Upon termination, your right to use the Service ceases immediately. We are not liable for any termination of your access to the Service.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved through binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
